1. Service Description

CodeGuild provides an AI orchestration platform that enables developers to coordinate multiple AI agents for software development. Our services include:

• AI agent orchestration and workflow management
• Chronicle memory system for persistent context
• Integration with various AI models and services
• Development tools and APIs

2. Account Terms

2.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials.

2.2 Account Requirements

• You must be at least 18 years old
• You must provide a valid email address
• You must be located in the United States
• You may not use CodeGuild for any illegal purposes
• You are responsible for all activity under your account

3. Billing and Payment

3.1 Subscription Plans

CodeGuild offers various subscription plans with different operation limits and features. Current plans and pricing are available on our pricing page.

3.2 Usage-Based Billing

We charge based on operations performed, with different rates for different AI agent tiers:

• Standard operations: Base rate
• Premium operations: 3x multiplier
• Enterprise operations: 6x multiplier

3.3 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Overage charges are billed at the end of each billing period
• All fees are non-refundable except as required by law
• We use Stripe for payment processing

4. Beta Program Terms

If you're participating in our beta program:

• Beta features may change or be discontinued without notice
• Beta benefits (storage bonuses, operation credits) are subject to terms at time of grant
• We may collect additional feedback and usage data during beta
• Beta pricing and benefits may not reflect final pricing

5. Acceptable Use

You agree not to:

• Use CodeGuild for any unlawful purpose
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to any systems
• Use CodeGuild to develop malicious software
• Violate any third-party rights or agreements
• Reverse engineer or attempt to extract our source code

6. Intellectual Property

6.1 Your Content

You retain all rights to code and content you create using CodeGuild. We claim no ownership over your intellectual property.

6.2 Our Service

CodeGuild and its original content, features, and functionality are owned by CodeGuild, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

6.3 Feedback

Any feedback you provide about CodeGuild may be used by us without any obligation to you.

7. Privacy and Data

Your use of CodeGuild is also governed by our Privacy Policy. Key points:

• We don't use your code to train AI models
• Your data is encrypted in transit and at rest
• We share data with AI providers only as necessary to provide services
• You can export or delete your data at any time

8. Third-Party Services

CodeGuild integrates with third-party AI services. Your use of these services through CodeGuild is subject to their respective terms:

• OpenAI, Anthropic, and other AI model providers
• GitHub and other code repositories
• Cloud infrastructure providers

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEGUILD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall CodeGuild's aggregate liability exceed the amounts paid by you to CodeGuild in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate this agreement:

• By you: Cancel your subscription at any time
• By us: For violation of these Terms with notice
• Immediately for severe violations or illegal activity

Upon termination, your right to use CodeGuild will cease immediately. You may export your data for 30 days after termination.

11. Changes to Terms

We may modify these Terms at any time. We'll notify you of any material changes via email or through the service. Your continued use after changes constitutes acceptance of the new Terms.

12. Geographic Restrictions

CodeGuild is currently available only to customers located in the United States. We do not provide services to users in other countries at this time. By using CodeGuild, you represent and warrant that you are located in the United States.

We may expand to additional countries in the future. International availability will be announced through our official channels.

13. General Terms

13.1 Governing Law

These Terms are governed by the laws of Kentucky, USA, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes will be resolved through binding arbitration in Kentucky, except where prohibited by law.

13.3 Entire Agreement

These Terms constitute the entire agreement between you and CodeGuild regarding the use of our services.
